Terms of Service

1. Agreement to Terms

By accessing or using the Bivvey platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the service.

These terms constitute a legally binding agreement between you ("Customer," "you") and Bivvey ("Company," "we," "us"). You represent and warrant that you have the legal authority to bind your organization to these terms. If you are accepting these terms on behalf of a company or other legal entity, you represent that you have the authority to do so.

2. Description of Service

Bivvey is a cloud-based, multi-tenant inventory management platform provided on a software-as-a-service (SaaS) basis. Features include inventory tracking, purchase order management, landed cost calculation, barcode scanning, sales management, serial number tracking, customer management, reporting, and integrations with third-party services such as Stripe, Xero, and Anthropic.

We may update, modify, or discontinue features of the service at any time. We will provide reasonable notice before making material changes that affect your use of the platform.

5. Free Trial

New accounts receive a 14-day free trial with full access to the features of the selected plan. No credit card is required to start a trial.

At the end of the trial period, you must subscribe to a paid plan to continue using the service. If you do not subscribe, your account will be suspended, but your data will be retained for 90 days. After 90 days of inactivity following trial expiration, your data may be permanently deleted.

You may use Bivvey only for lawful business purposes. You agree not to:

We reserve the right to suspend or terminate your account for violations of this section without prior notice.

10. Data Ownership

You retain all ownership rights to the data you enter into Bivvey. We do not claim any intellectual property rights over your inventory data, customer records, transaction history, or any other content you create or upload.

You grant us a limited, non-exclusive license to host, store, process, and display your data solely for the purpose of providing the service to you. This license terminates when you delete your data or when your account is terminated.

11. Data Security

We implement industry-standard security measures to protect your data, including encryption in transit (TLS/SSL), secure session management, input validation and sanitization, and role-based access controls.

Tenant data is isolated at the database level. Each tenant's data is stored in a separate database schema, and no tenant can access another tenant's data. We perform regular automated backups of all data.

While we strive to protect your data, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security. You are responsible for maintaining the security of your account credentials.

In the event of a data breach affecting your data, we will notify you within 72 hours of discovery.

12. Service Availability and Support

We target 99.9% uptime but do not guarantee uninterrupted access to the service. Scheduled maintenance will be announced in advance when possible.

Support is available via email at support@bivvey.com. Response times vary by plan tier; Enterprise customers receive priority support. We are not liable for downtime caused by factors beyond our control, including internet outages, third-party service failures, or force majeure events.

13. Third-Party Integrations

Bivvey integrates with third-party services including Stripe (payment processing), Xero (accounting), and Anthropic (AI product lookup). Your use of these third-party services is subject to their respective terms of service and privacy policies.

We are not responsible for the availability, accuracy, or functionality of third-party services. We may add, modify, or remove third-party integrations at any time.

14. Intellectual Property

The Bivvey service, including its design, code, features, documentation, and branding, is the intellectual property of Bivvey and is protected by copyright, trademark, and other intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable license to use the service during your subscription period. You may not copy, modify, distribute, or create derivative works from the service.

15. Limitation of Liability

Bivvey is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be error-free, uninterrupted, or free of harmful components.

To the maximum extent permitted by law, our total liability for any claims arising from your use of the service is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption. We are not liable for decisions you make based on data or reports generated by the service, including inventory valuations, cost calculations, or margin reports.

You acknowledge that inventory management involves business risk and that the service is a tool to assist your operations, not a guarantee of accuracy.

16. Indemnification

You agree to indemnify and hold harmless Bivvey, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these terms, or your violation of any third party's rights.

17. Modifications to Terms

We may modify these terms at any time by posting updated terms on our website. Material changes will be communicated via email to the address associated with your account at least 30 days before they take effect.

Your continued use of the service after the effective date of modified terms constitutes acceptance of those terms. If you do not agree to modified terms, you may cancel your subscription before the effective date.

18. Governing Law and Disputes

These terms are governed by the laws of the State of Tennessee, United States, without regard to conflict of law principles.

Any disputes arising from these terms or your use of the service will be resolved through binding arbitration in Putnam County, Tennessee, under the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits or class-wide arbitration.

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction.

19. Severability

If any provision of these terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.

20. Entire Agreement

These terms, together with the Privacy Policy, constitute the entire agreement between you and Bivvey regarding your use of the service. These terms supersede any prior agreements or understandings, whether written or oral.
